Terms of Service

These Terms of Service ("Terms") govern your use of Pasha Automations services. By engaging our services, you agree to these Terms.
Services
Pasha Automations provides managed systems consulting and implementation services for law firms, including but not limited to:
- System design, development, and configuration
- Integration of third-party software tools
- Ongoing maintenance and support
- Training and documentation
Service Availability
Pasha Automations uses commercially reasonable efforts to maintain service availability. Scheduled maintenance is performed with reasonable advance notice when possible. We are not responsible for interruptions caused by third-party service providers (e.g., Twilio, ElevenLabs, Google Workspace) or circumstances beyond our reasonable control.
Engagement Terms
All projects begin with a discovery call to understand your needs. Following discovery, we provide a proposal outlining scope, timeline, and pricing. Work begins upon acceptance of the proposal and receipt of any required deposits.
Payment Terms
Payment terms are specified in your project proposal. Generally:
- Setup fees are due upon project commencement
- Monthly retainers are billed at the start of each billing period
- Custom development may require milestone-based payments
Client Responsibilities
To ensure successful project delivery, clients agree to:
- Provide timely access to necessary systems and accounts
- Respond to questions and requests within reasonable timeframes
- Provide accurate information about business processes
- Review and approve deliverables in a timely manner
Acceptable Use
Client agrees not to use Pasha Automations services for spam, harassment, or any unlawful purpose. Client is responsible for compliance with applicable laws, including CAN-SPAM and TCPA, when using SMS and email automations. Pasha Automations reserves the right to suspend or terminate services if this policy is violated.
Intellectual Property
Upon full payment, clients receive a non-exclusive, non-transferable license to use the systems and configurations built specifically for them, for the duration of their engagement. We retain all right, title, and interest in our pre-existing intellectual property, general methodologies, templates, and non-client-specific components. Client retains full ownership of their data. Upon termination and full payment, we provide documentation of system logic and data exports upon request.
Confidentiality
We treat all client information as confidential and will not disclose it to third parties without consent, except as required by law.
Limitation of Liability
Our liability is limited to the fees paid for services. We are not liable for indirect, incidental, or consequential damages, including lost profits or data. Additionally, Pasha Automations is not liable for:
- Failures or interruptions of third-party services used to deliver automations
- Issues arising from inaccurate or incomplete data provided by the client
- Actions taken by automated workflows based on client-provided data or configurations
In all cases, Pasha Automations' aggregate liability shall not exceed the total fees paid by the client in the 12 months preceding the claim.
Indemnification
Client agrees to indemnify and hold harmless Pasha Automations from any claims, damages, or expenses arising from:
- Client's use of the services
- Inaccurate data provided by the client
- Client's violation of applicable laws or regulations
Termination
Either party may terminate ongoing services with 30 days written notice. Fees for work completed prior to termination remain due. Upon termination, the client may request export of their data within 30 days. Pasha Automations will provide workflow documentation upon request. No refunds are issued for partial billing periods, unless Pasha Automations terminates the engagement without cause.
Force Majeure
Neither party shall be liable for delays or failures in performance caused by circumstances beyond reasonable control, including but not limited to natural disasters, internet or infrastructure outages, third-party service failures, government actions, or public health emergencies.
Changes to Terms
We may update these Terms periodically. Continued use of our services after changes constitutes acceptance of the updated Terms.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall be resolved exclusively in the state or federal courts located in Dallas County, Texas.
